TERMS AND CONDITIONS
1.0    The Agreement

        1.1     This agreement is an unsigned yet legally binding contract between Portugal Blue Pages, its holding company Canary Wharf Publicações Lda, its collaborators namely Fleet Street Publicidade e Publicações Lda, David Stafford Leeke trading as Dynamic Fish and Stephen Reid Comunicações e Infomações Unipessoal Lda (hereinafter and jointly known as ‘The Company’) and clients (hereinafter known as ‘The Client’) advertising through and as part of the website Portugal Blue Pages (hereinafter known as ‘The Website’) whether paid for or complimentary.

        1.2     This agreement publishes the Terms & Conditions as laid out below that must be adhered to. Once an entry has been entered into ‘The Website’, ‘The Client’ shall by placement of the entry (hereinafter known as ‘The Entry’), have accepted the Terms & Conditions and agreed to them.

2.0    Use of ‘The Website’

        2.1     ‘The Website’ may only be used for bona fide and legal advertisements formed as part of and to promote a legally constituted business or service provider in Portugal, or by a legally constituted European company offering trades and / or services to or for Portugal and its residents and for no other purpose.

3.0    Advertisement Content

        3.1      ‘The Client’ must ensure that the content of ‘The Entry’ is accurate. Any category (hereinafter known as 'The Category') chosen for ‘The Entry’ must represent the main discipline of ‘The Client’ and not an allied business.

        3.2     ‘The Company’ reserve the right to edit the content of ‘The Entry’ of ‘The Client’ as necessary and at the sole discretion of ‘The Company’ and without prior notice or recourse to ‘The Client’ but without prejudice. In the most part this will be formatting alteration that form part of the styles of ‘The Website’ and in some cases spelling or grammatical errors that could devalue ‘The Website’ and ‘The Entry’.

        3.3     Listings are shown in alphabetical order with Premium at the top, followed by Professional in alphabetical order, followed by Standard Free Listings below.

        3.4     Standard Listings are free of charge and as such do not contain complete information. Therefore ‘The Company’ does not permit the publishing of website addresses, email addresses or inferences of the aforementioned in the content of ‘The Entry’. Any and all attempts to enter urls or email addresses without the prior agreement from ‘The Company’ or payment to ‘The Company’ will result in ‘The Entry’ being withdrawn without recourse. There are no limitations to the number of Standard Listing ‘The Company’ will allow.

        3.5     Professional Listings are paid for and as such are permitted to contain more information and are laid out differently to Standard Listings. Payment must be made up front to ‘The Company’ following receipt of a Factura from ‘The Company’ with a value depending upon the contractual period. The contract will finish the last day of the month in which the contract or agreement was made, unless premature cancellation or termination has occurred as a result of item 6.0. There are no limitations to the number of Standard Listing ‘The Company’ will allow.

        3.6     Premium Listings are limited to one per category only. The Premium Listing must represent the main discipline of ‘The Client’ and not a secondary complimentary category. Payment must be made up front to ‘The Company’ following receipt of a Factura from ‘The Company’ with a value depending upon the contractual period. The contract will finish the last day of the month in which the contract or agreement was made, unless premature cancellation or termination has occurred as a result of item 6.0.

        3.7     Content of ´The Entry’ will be deemed to be owned by ´The Client’ following transfer of ‘The Entry’ to the supplied email address of ‘The Client’ and upon transfer, ‘The Client’ will remain responsible and legally liable for the content of ‘The  Entry’ and the content therein.

4.0     Contract Renewals

        4.1     'The Company' reserves the right to decline the renewal of any contract and will notify ‘The Client’ of its reasons although the decision will remain that of ‘The Company’ and the decision will be final. This in no way shows guilt or prejudice against ´The Client´ and does not alter the statutory rights of ‘The Client’.

        4.2     Contract renewals will normally be undertaken thirty days before the end of the current contract or agreement.

        4.3     Renewals not fulfilled by the final day of the contract, will result in ‘The Entry’ reverting to a Standard Listing, loosing all of the formatting and statistical information contained therein unless term 4.1 is evoked whereby ´The Entry’ may be removed in total.

5.0     Liability and Indemnification

        5.1     'The Client' indemnifies ‘The Company’ from any claim arising as a result of inaccurate content or breaches of the contract on the ‘The Clients' part.

        5.2     ‘The Company’ does not warrant that ‘The Website’ will be error free or available at all times. ‘The Company’ will not be liable to ‘The Client’ for any special consequential incidental or indirect damages including loss of profit.

6.0    Copyright

        6.1     By agreeing to these Terms & Conditions, ‘The Client’ accepts that they are entitled to reproduce all photographic material supplied or used in ‘The Entry’. ‘The Company’ cannot be held responsible for any breach as a result of usage of any materials supplied by ‘The Client’.

7.0    Termination

        7.1     ‘The Client’ may wish to have their advert removed before the end of the advertising period. In this instance, no refund will be made for the unused period.

        7.2     ‘The Company’ reserve the right to remove ‘The Entry’ of ‘The Client’ without warning for any breach, actual or attempted, of these Terms & Conditions.
