| Use of the Portugal Blue Pages Search Facility is provided to you free of charge. All we ask for in return, is a link to the Portugal Blue Pages website on any pages where the Portugal Blue Pages service appears. These Terms of Use relate directly to your inclusion of the Portugal Blue Pages' proprietary software, data and content search facility branded 'Portugal Blue Pages Search', updated periodically and any other ancillary, derivative or similar product which is provided by Portugal Blue Pages to on-line partners (the "Service"). These Terms of Use constitute a legal agreement between you and Portugal Blue Pages (the "Agreement"). Please read them carefully before using the Service. By clicking the 'Terms of Use' check box and by using the Service in any way, you are confirming either for yourself or on behalf of your employer that you have read and understood these Terms & Conditions and Terms of Use and have agreed to be bound by them. Portugal Blue Pages may amend these Terms of Use at any time at its discretion and without prior knowledge or notification. If these Terms of Use are amended, Portugal Blue Pages shall display the revised terms and conditions on its website at www.portugalbluepages.com (the "Website"). You will be deemed to have accepted any amendments if you continue using the Service after the amendments are displayed. If you do not agree to comply with these Terms & Conditions or Terms of Use or any amendments to them, please stop using the Service immediately. 1. Use of the Service 1.1 Only websites that are registered with Portugal Blue Pages through the completion of the request to implement the Portugal Blue Pages Search Facility by entering the url into the link on the Portugal Blue Pages website under the menu item "Webmasters" are permitted to use the Portugal Blue Pages Search Facility. 1.2 Portugal Blue Pages operates and controls the Service and provides it to you in its absolute discretion. 1.3 Using the Service in accordance with these Terms & Conditions, allows you to integrate some elements of Portugal Blue Pages' unique on-line business and service finder into your own website. 1.4 Subject to these Terms & Conditions, Portugal Blue Pages permits you to:- (a) integrate the Service into your website by adding HTML integration code in accordance with the directions of Portugal Blue Pages as displayed on the Website (b) use the Service to display business and service details and other information provided by Portugal Blue Pages on your website in the same manner, form, format and appearance as is provided by the Service (c) use 'cascading style sheet' (CSS) files as described on the Website to tailor the look and feel of the Service, provided that you do not:- (i) alter the underlying HTML code (ii) combine the Service (or any component part of the Service) with other data or information to form a new service of any kind 1.5 Portugal Blue Pages may change the Service at its discretion, including, but not limited to, suspending access to the Service, inserting advertising in the Service and limiting the number of lists that can be accessed using the Service. 1.6 All other uses of the Service other than as set out in these Terms & Conditions is prohibited. 1.7 In consideration of Portugal Blue Pages permitting you to use the Service, you agree to:- (a) comply with these Terms & Conditions (b) permit Portugal Blue Pages to use your brand (including any registered trade marks) for the purpose of promoting the availability of the Service but for no other purposes 2. Restrictions and unauthorised activities 2.1 Permission to use the Service as set out in paragraph 1 above is conditional upon your compliance with these Terms & Conditions and is subject to the following restrictions:- (a) You must not access or in any way exploit any underlying data, code, content or other material provided by Portugal Blue Pages in conjunction with the Service (b) You must not:- (i) combine or bundle the Service (or any part of the Service) with other data, information or content (ii) reformat, alter or use the Service for the purposes of dynamic packaging or similar activities, whether for commercial gain or otherwise (c) You must ensure that all consumer travel bookings using the Service are concluded between consumers and Portugal Blue Pages' travel operator partners and not via any intermediary, whether for commercial gain or otherwise (d) You must not charge consumers (whether directly or indirectly) for the use of the Service (e) You must not remove, alter, tamper with or in any way change the Service, including:- (i) the Portugal Blue Pages logo and hyperlink which includes the text 'Powered by Portugal Blue Pages' (the "Portugal Blue Pages Link") (ii) the hyperlinks to Portugal Blue Pages’s privacy policy, Terms & Conditions and ‘contact us’ page (the "Consumer Links"), all of which are embedded in the Service (f) You must not apply a 'NOFOLLOW' HTML metatag or similar tag or attribution to the Portugal Blue Pages link or Consumer Links (g) You must not (and must not authorise others to) copy, distribute, communicate to the public, edit, alter, sell, rent, lend or otherwise use the Service other than as permitted pursuant to paragraph 1 above (h) You must comply with all laws & regulations when using the Service and must not use the Service for illegal or illegitimate purposes (i) You must not use the Service in any manner whatsoever that may prejudice or damage Portugal Blue Pages' business 3. Portugal Blue Pages' property 3.1 All intellectual property rights including, but not limited to, copyright (including copyright & intellectual rights in computer software), patents, trade marks or business names, design rights, database rights, know-how, trade secrets and rights of confidence in the Service (together, the "Intellectual Property Rights") are owned or licensed by Portugal Blue Pages. You acknowledge that by using the Service, you do not acquire any right or interest in the Service or the Intellectual Property Rights. 3.2 Portugal Blue Pages grants to you a limited non-exclusive, non-transferable licence (without the right to sub-license) to use Portugal Blue Pages' name, logo and get-up (the "Brand") strictly in conjunction with the Service. You shall under no circumstances change or remove the Brand from the Service or use it on any other website. You shall only use the Brand in the manner and form provided to you by Portugal Blue Pages or stipulated by Portugal Blue Pages. Any goodwill accrued from your use of the Brand shall vest in Portugal Blue Pages. 3.3 You shall not:- (a) remove, alter or replace any notices of authorship, trade marks, business names, logos or other designations of origin on the Service or pass off or attempt to pass off the Service as the product of anyone other than Portugal Blue Pages (b) use any automated computer program or application to scan, copy, index, sort or otherwise exploit the Service or part thereof 3.4 You acknowledge that the Service includes content, pricing information, data and brand names owned by Portugal Blue Pages' or its partners Canary Wharf Publicações Lda, Steve Reid Lda, David Stafford Leeke or Fleet Street Publicidade e Publicações Lda ("Partner Materials"). The restrictions at paragraph 3.3 above shall apply equally to Partner Materials. 3.5 By using the Service, you undertake not to reverse-engineer any underlying software or circumvent any technological protections embodied in the Service. 3.6 You shall ensure that no disruptive computer program code, virus, worm, trojan horse, authorisation key, licence control utility or software lock is introduced by you or anyone authorised by you into the Service or onto the Website. 4. Warranties 4.1 By checking the 'Terms & Conditions' box and accepting these Terms & Conditions, you warrant and represent to Portugal Blue Pages that:- (a) You will not use the Service other than in accordance with these Terms & Conditions (b) You will not use the Service in any manner which may cause damage to Portugal Blue Pages or bring Portugal Blue Pages into disrepute (c) Your use of the Service will not infringe the rights of any third party 5. Disclaimer of liability 5.1 Your use of the Service and the Website is entirely at your own risk. While Portugal Blue Pages will endeavour to ensure that the content of the Service and the Website is accurate, you should not rely on such content. 5.2 Portugal Blue Pages makes no representations and does not warrant to you that the Service or the Website:- (a) is accurate, complete or up to date (b) will always be available (c) is secure or is free from errors, faults or defects 5.3 This Agreement sets out the full extent of Portugal Blue Pages' obligations and liabilities in respect of the Service. You shall have no remedy in respect of any untrue statement made to you upon which you relied in entering into this Agreement (unless such untrue statement was made knowing that it was untrue) other than any remedy you may have for breach of the express terms of this Agreement. Accordingly, any condition, warranty or other term concerning the supply of or failure to supply the Service which might for this paragraph 5.3 have effect between Portugal Blue Pages and you or would otherwise be implied or incorporated into this Agreement or any collateral contract (including, without limitation, the implied terms of satisfactory quality and fitness for purpose), whether by statute, common law or otherwise, is hereby excluded and Portugal Blue Pages shall not be liable to you in tort, delicti or otherwise pursuant to the express terms of this Agreement in respect of the subject matter of this Agreement or the supply or non-supply of the Service. 5.4 You should always obtain professional advice before making any decision which is prompted by the Service or information you have been provided by Portugal Blue Pages that may have legal or financial implications. 5.5 To the maximum extent permitted by the law (and except in respect of death or personal injury arising out of the negligence of Portugal Blue Pages) Portugal Blue Pages does not accept any liability for:- (a) Any inaccuracies or omissions (other than for fraudulent misrepresentation) in the content of the Service or the Website (b) Any loss, damage, cost or expense of any kind incurred by you arising in connection with your access to, use of, or inability to use, the Service, the Website or any content contained in them 5.6 By using the Service, you release Portugal Blue Pages from all such liability. 5.7 Portugal Blue Pages makes no representation that materials or information on the Service is appropriate or available for use in locations outside of Portugal and accessing or implementing the Service from territories where its contents are illegal or unlawful is prohibited. If you choose to access or implement the Service from locations outside of Portugal, you do so on your own initiative and are responsible for compliance with local laws. 5.8 Owing to the nature of the Internet and the fact that your access to the Service involves functionality outside Portugal Blue Pages' control, Portugal Blue Pages is not responsible for technical problems that you may experience with the Service. 6. Indemnity 6.1 You agree to indemnify and keep Portugal Blue Pages fully and effectively indemnified from and against all actions, claims, proceedings, costs, damages and expenses (including, without limitation, legal fees) arising out of your use of the Service including, without limitation, the provision by you of copy or data which may be or become utilised on your website and which creates any liability for Portugal Blue Pages to any third party. 7. Termination 7.1 Portugal Blue Pages may in its absolute discretion immediately terminate this Agreement upon notice to you. Portugal Blue Pages may suspend your use of the Service without notice at any time, without incurring any liability to you whatsoever. 7.2 You may terminate this Agreement at any time by removing the Service from your website. Any termination by you of this Agreement shall be without prejudice to any rights and remedies of Portugal Blue Pages in respect of any breach by you of this Agreement or these Terms & Conditions prior to such termination. 8. Consequences of termination 8.1 Immediately upon termination of this Agreement:- (a) You will not have the right to use the Service and all permissions set out in paragraph 1 shall cease (b) You shall immediately delete all software, data, content and information concerning the Service from your systems and, where requested by Portugal Blue Pages, confirm in writing that you have done so 9. Privacy 9.1 Portugal Blue Pages operates a privacy policy which can be found at www.portugalbluepages.com. You acknowledge that your personal information or the personal information of any user of your website submitted via the Service may be used by Portugal Blue Pages in accordance with its privacy policy. 10. Legal remedies 10.1 You acknowledge that the unauthorised use of the Service may result in irreparable damage and injury to Portugal Blue Pages and / or its affiliates or licensor's for which money damages would be inadequate. Consequently, in the event of such unauthorised use, Portugal Blue Pages, its affiliates, partners, collaborators and / or licensor's (as applicable) shall have the right, in addition to any other legal remedies available to them, to seek an immediate injunction against you prohibiting any further use of the Service. 10.2 Nothing in these Terms & Conditions shall be interpreted to limit the remedies available pursuant to statutory or other legal authority that Portugal Blue Pages, its affiliates and / or licensor's may have. 11. General provisions 11.1 The invalidity or un-enforceability of any provision (in whole or part) of these Terms & Conditions shall not affect the validity or enforceability of the remaining provisions (in whole or part). The whole or part of any provision which is held by a court of competent jurisdiction to be invalid or unenforceable shall be deemed deleted from these Terms & Conditions. 11.2 These Terms & Conditions are personal to you. You shall not be entitled to assign this Agreement in whole or in part to any third party without Portugal Blue Pages' prior written consent. 11.3 These Terms & Conditions represent the entire agreement between Portugal Blue Pages and you and supersede any previous arrangements. 11.4 Any failure by Portugal Blue Pages to enforce any of the terms of these Terms & Conditions shall not be considered to be a waiver of them or the right to subsequently enforce any terms of these Terms & Conditions. 11.5 A person who is not a party to these Terms & Conditions shall have no right under Portuguese legislation to enforce any provision of these Terms & Conditions but this shall not affect any right or remedy of a third party which exists or is available apart from that Act. 11.6 Irrespective of the country from which you access or use the Service, your use of the Service is governed in accordance with the laws of Portugal to the non-exclusive jurisdiction of whose courts you are deemed to have submitted. 12.
